1. Acceptance of Terms

Welcome to Prayfully. These Terms of Service ("Terms") form a binding legal agreement between OVRSEE LLC, a Delaware limited liability company with a principal place of business in Florida (referred to in these Terms as "OVRSEE," "we," "us," or "our"), and you (the "User" or "you"). "Prayfully" or the "Service" refers to the prayer and spiritual reflection application operated by OVRSEE on iOS and Android devices, including any associated websites and content.

By tapping "Create Account," "Continue with Apple," "Continue with Google," or otherwise downloading, accessing, or using the Service, you agree to be bound by these Terms and the Privacy Policy (which is incorporated into these Terms by reference). If you do not agree to these Terms, you may not use the Service.

These Terms apply to all users, including those in a free trial period and those with an active paid subscription. We reserve the right to update these Terms at any time. We will provide reasonable advance notice of material changes through the app and by updating the Effective Date above. Continued use of the Service following changes to the Terms constitutes your acceptance of the updated Terms.

2. Eligibility and Accounts

Age Requirement

Prayfully is intended for users 16 years of age or older. By creating an account or otherwise using the Service you represent and warrant that you are at least 16 years old. If you are under 16, you may not create an account or use the Service. We ask for your year of birth at account creation as a reasonable measure to verify this; accounts that indicate an age below 16 are blocked. Where local law in your jurisdiction sets a higher minimum age for the processing of personal data without parental consent, the higher local minimum applies. See Section 10 of the Privacy Policy for details on how we handle minimum-age requirements across jurisdictions (including COPPA, GDPR Article 8, the UK Age Appropriate Design Code, Quebec Law 25, and the California Age-Appropriate Design Code Act).

Sensitive Personal Information — Religious Belief

Because Prayfully is a prayer and spiritual reflection service, the information you generate while using it — prayers, journal entries, prayer requests, and your engagement with religious content — reveals information about your religious or philosophical beliefs. Under the EU and UK General Data Protection Regulation this is a special category of personal data (Article 9); under the California Consumer Privacy Act it is Sensitive Personal Information. Before you can finish account creation, the app will ask you to provide a separate, dedicated, opt-in consent acknowledging that you understand Prayfully will process information about your religious beliefs to deliver the Service. You may withdraw that consent at any time by deleting your account.

Account Creation

To access certain features of Prayfully, you may need to create an account using your email address or sign in through a third-party service. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to provide accurate and complete information when creating your account.

Account Deletion

You may delete your account at any time directly within the Prayfully app. Upon deletion, your account and associated data will be removed from our active systems, though we may retain certain information as required by law or for operational purposes.

3. Subscriptions and Billing

Subscription Plans

Prayfully is a subscription service. Each new account begins with a 7-day free trial; after the trial, continued use of the Service requires an active paid subscription. The available subscription plans are:

Payment Processing

Subscriptions are processed through Apple App Store or Google Play Store in-app purchase systems. All payments are securely handled by these platforms. Billing and subscription management are facilitated through RevenueCat, a third-party service that helps us manage recurring subscriptions. By subscribing, you authorize the app store platform to charge your payment method on a recurring basis according to your selected plan.

Billing and Renewal

Your subscription will automatically renew at the end of each billing period unless you cancel it. You will be charged through your app store account on the renewal date. You are responsible for keeping your payment information current.

Cancellation

You may cancel your subscription at any time through your app store account settings (Apple App Store or Google Play Store). Cancellation will take effect at the end of your current billing period. No refunds are provided for partial months or unused portions of your subscription, except as required by applicable law.

Free Trial

Prayfully may offer free trial periods. Any unused free trial period will be forfeited if you purchase a subscription during the trial. You are responsible for canceling before your free trial ends if you do not wish to be charged.

4. User Content and Intellectual Property

Your Prayer Journal

You retain full ownership of all content you create and upload to Prayfully, including your personal prayer journal entries, notes, and private reflections. Prayfully does not claim ownership of your user-generated content. You grant Prayfully a limited, non-exclusive license to store, display, and process your content for the purpose of providing the services.

Prayer Content

Prayfully provides daily prayer content drawn from public-domain biblical sources (King James Version) and may, in the future, incorporate AI-assisted features. We will update these Terms to reflect any such additions before they are introduced. Daily prayers and suggestions are intended as inspirational tools and not as substitutes for personal prayer or professional spiritual guidance.

Bible Content

Bible passages and scripture featured in Prayfully are sourced from public domain translations and third-party APIs. Prayfully does not claim ownership of scripture content. These passages are provided for spiritual reflection and educational purposes.

Prayfully Intellectual Property

All content created by Prayfully, including the app design, interface, features, functionality, and original written content, are the intellectual property of Prayfully and protected by copyright law. You may not copy, modify, distribute, or create derivative works based on Prayfully's intellectual property without our explicit written permission.

5. Community Features and Guidelines

Community Features

Prayfully provides community features that allow users to participate in prayer circles, share posts, and comment. These features are designed to foster spiritual connection and mutual support within the Prayfully community.

Automated Filtering

Prayfully employs automated profanity filtering and other content moderation systems to detect and prevent violations of these Terms. The automated system is designed to maintain a respectful community environment.

Manual Moderation

Our moderation team reserves the right to review user-generated content, remove posts or comments that violate our Community Guidelines, and take action against users who repeatedly violate these Terms. Actions may include warnings, temporary suspension, or permanent removal from the community features.

Reporting

If you encounter content or behavior that you believe violates these Terms or our Community Guidelines, please report it to us by emailing support@prayfully.net with a description of the content, the username or post involved (where applicable), and the reason for the report. We review reports in the order received and reserve the right to take action at our discretion, which may include removing content, warning users, or suspending or terminating accounts. Where an in-app reporting control is available within a particular feature, you may also use that control. We do not commit to a specific response time, but we treat reports involving immediate safety concerns or illegal content as priority matters.

Prayfully reserves the right to suspend or terminate your account and access to the app if you violate these Terms, engage in prohibited conduct, or otherwise breach your obligations to Prayfully. Termination may be immediate and without notice in cases involving serious violations or threats to the safety of the community.

Upon termination, your right to use Prayfully immediately ceases. We will not be liable to you or any third party for any claims arising from termination or suspension of your account. You are entitled to a refund of any pre-paid subscription fees for the remainder of your billing period, as required by applicable law and app store policies.

9. Disclaimers

As-Is Provision

Prayfully is provided on an "as-is" and "as-available" basis without warranties of any kind, express or implied. We do not warrant that the app will be uninterrupted, error-free, or free from viruses or harmful components.

Spiritual Guidance Disclaimer

Prayfully is a tool for personal spiritual reflection and prayer. It is not a substitute for professional mental health services, pastoral counseling, or medical advice. If you are experiencing a mental health crisis, thoughts of self-harm, or other serious concerns, please seek help from a qualified healthcare provider or crisis counselor.

10. Limitation of Liability

To the fullest extent permitted by law, Prayfully, its developers, and related parties shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to damages for loss of profits, goodwill, use, data, or other intangible losses, even if advised of the possibility of such damages.

Our total liability to you arising from or related to these Terms or your use of Prayfully shall not exceed the amount you have paid to Prayfully in the past 12 months, or $100, whichever is greater.

11. Governing Law and Venue

These Terms and any dispute or claim arising out of or in connection with them or their subject matter (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of laws principles. Subject to Section 14 (Binding Arbitration), the parties irrevocably agree that the state and federal courts located in Miami-Dade County, Florida shall have exclusive jurisdiction to settle any dispute or claim that is not subject to arbitration. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

For users residing in the Province of Quebec, Canada, nothing in this Section overrides the mandatory application of Quebec consumer protection law where such law applies; in that event, Quebec courts shall have jurisdiction over claims brought by Quebec residents and Quebec law shall govern those claims to the extent required by law.

12. Changes to Terms

Prayfully reserves the right to modify these Terms at any time. We will notify you of material changes by updating the "Effective Date" at the top of this document and, when appropriate, by sending you a notification through the app or to your registered email address. Your continued use of Prayfully following the publication of updated Terms constitutes your acceptance of the changes.

13. Severability

If any provision of these Terms is found to be invalid or unenforceable, such provision shall be limited or eliminated to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

14. Binding Arbitration; Class Action Waiver

PLEASE READ THIS SECTION CAREFULLY. IT REQUIRES YOU TO ARBITRATE DISPUTES WITH OVRSEE LLC AND LIMITS HOW YOU CAN SEEK RELIEF.

14.1 Agreement to Arbitrate

You and OVRSEE LLC agree that any dispute, claim, or controversy arising out of or relating to (a) these Terms, (b) the Prayfully service, (c) any Prayfully subscription or in-app purchase, or (d) the relationship between you and OVRSEE LLC (collectively, "Disputes") shall be resolved exclusively through final and binding individual arbitration administered by JAMS under its Streamlined Arbitration Rules and Procedures (or, for claims over $250,000, its Comprehensive Rules) then in effect, except as modified by this Section. The arbitration shall be conducted by a single arbitrator. The seat of arbitration shall be Miami-Dade County, Florida, though for claims under $25,000 the arbitration may, at your election, be conducted by telephone, video, or on documents only. Judgment on the award may be entered in any court of competent jurisdiction.

14.2 Class Action Waiver

YOU AND OVRSEE LLC AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate or join the claims of more than one person and may not preside over any form of representative or class proceeding. If this class action waiver is found unenforceable as to any particular claim, then that claim — and only that claim — shall be severed from arbitration and brought in the courts identified in Section 11.

14.3 Exceptions

Notwithstanding the foregoing, either party may (a) bring an individual action in small claims court for claims that qualify, and (b) seek injunctive or other equitable relief in court to prevent actual or threatened infringement, misappropriation, or violation of intellectual property rights or unauthorized access to the Service.

14.4 Costs

OVRSEE LLC will pay all JAMS filing, administrative, and arbitrator fees for any arbitration you initiate in good faith for a claim under $10,000, except that if the arbitrator determines your claim is frivolous, the JAMS fee schedule for consumers will apply.

14.5 Thirty-Day Right to Opt Out

You have the right to opt out of this arbitration agreement within thirty (30) days after first accepting these Terms by sending written notice to legal@prayfully.net with the subject line "Arbitration Opt-Out" and including your full name, the email associated with your account, and a clear statement that you wish to opt out. Opting out will not affect any other provision of these Terms.

14.6 Federal Arbitration Act

This Section is governed by the Federal Arbitration Act, 9 U.S.C. § 1 et seq.

14.7 Survival

This Section survives termination of these Terms.

15. Copyright Policy; DMCA Notices

OVRSEE LLC respects the intellectual property rights of others and expects users of Prayfully to do the same. We respond to clear notices of alleged copyright infringement that comply with the Digital Millennium Copyright Act, 17 U.S.C. § 512 ("DMCA").

15.1 Notification of Claimed Infringement

If you believe that material on Prayfully infringes a copyright you own or control, please send a written notice to our Designated Agent that includes:

15.3 Counter-Notification

If you believe material you posted was removed in error, you may send a counter-notification meeting the requirements of 17 U.S.C. § 512(g)(3) to the same address.

15.4 Repeat Infringer Policy

OVRSEE LLC will, in appropriate circumstances, terminate the accounts of users who are repeat infringers.

15.5 Misrepresentations

Under 17 U.S.C. § 512(f), any person who knowingly materially misrepresents that material is infringing, or that material was removed by mistake, may be liable for damages.

16. Force Majeure

Neither party shall be liable for any failure or delay in performance under these Terms (other than payment obligations) to the extent such failure or delay is caused by circumstances beyond that party's reasonable control, including without limitation: acts of God, natural disasters, fire, flood, earthquake, pandemic, epidemic, war, terrorism, civil unrest, governmental action, labor disputes, failure or interruption of internet service, third-party platform outages (including App Store, Google Play, Supabase, Apple, Google, Meta, Amazon Web Services, Cloudflare, or other infrastructure providers), or denial-of-service attacks. The affected party shall use commercially reasonable efforts to resume performance as soon as practicable.

17. Apple-Specific Terms

This Section applies to your use of the Service on Apple iOS or iPadOS devices and supplements the rest of these Terms.

17.1 Acknowledgment

You acknowledge that these Terms are concluded between you and OVRSEE LLC only, and not with Apple Inc. ("Apple"). OVRSEE, not Apple, is solely responsible for the Service and its content.

17.2 Scope of License

The license granted to you for the Service is limited to a non-transferable license to use the Service on any Apple-branded device that you own or control and as permitted by the App Store Terms of Service.

17.3 Maintenance and Support

OVRSEE is solely responsible for providing any maintenance and support services for the Service. Apple has no obligation whatsoever to furnish maintenance or support services.

17.4 Warranty

OVRSEE is solely responsible for any product warranties, whether express or implied by law, to the extent not effectively disclaimed. In the event of any failure of the Service to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) for the Service to you. To the maximum extent permitted by applicable law, Apple has no other warranty obligation whatsoever with respect to the Service.

17.5 Product Claims

OVRSEE, not Apple, is responsible for addressing any User or third-party claims relating to the Service or your use of it, including: (i) product liability claims; (ii) any claim that the Service fails to conform to any applicable legal or regulatory requirement; and (iii) claims arising under consumer protection, privacy, or similar legislation.

17.6 Intellectual Property Rights

In the event of any third-party claim that the Service or your possession and use of the Service infringes that third party's intellectual property rights, OVRSEE, not Apple, will be solely responsible for the investigation, defense, settlement, and discharge of any such intellectual property infringement claim.

17.7 Legal Compliance

You represent and warrant that (i) you are not located in a country subject to a U.S. Government embargo or designated as a "terrorist supporting" country, and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties.

17.8 Third-Party Beneficiary

You acknowledge that Apple and Apple's subsidiaries are third-party beneficiaries of these Terms, and that upon your acceptance of these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary.

18. User Indemnification

You agree to defend, indemnify, and hold harmless OVRSEE LLC, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use or misuse of the Service; (b) your User Content, including any prayer requests, comments, journal entries, or other material you post or share; (c) your violation of these Terms or any applicable law; (d) your violation of any third-party right, including any intellectual property, privacy, or publicity right; or (e) any dispute between you and another User. OVRSEE reserves the right, at its own expense, to assume exclusive defense and control of any matter otherwise subject to your indemnification, in which case you agree to cooperate with OVRSEE's defense. This Section survives termination of these Terms.

19. Survival

The Sections covering Intellectual Property, User Content licenses, Disclaimers, Limitation of Liability, Governing Law and Venue, Binding Arbitration and Class Action Waiver, Copyright Policy, Apple-Specific Terms, User Indemnification, Assignment, and any other provisions which by their nature should survive will survive termination of these Terms.

20. Assignment

You may not assign or transfer these Terms or any rights or obligations under them, by operation of law or otherwise, without OVRSEE LLC's prior written consent. OVRSEE LLC may freely assign these Terms in connection with a merger, acquisition, sale of assets, financing, or by operation of law.

21. Entire Agreement; No Waiver; Sub-Processors

These Terms, together with the Privacy Policy and any in-app supplemental terms, constitute the entire agreement between you and OVRSEE LLC regarding the Service and supersede any prior agreements. No failure or delay by OVRSEE LLC to exercise any right under these Terms operates as a waiver of that right. OVRSEE LLC relies on third-party service providers, including Apple, Google, Supabase, RevenueCat, PostHog, Sentry, and Expo, to operate the Service. A current list and the categories of data each provider processes are disclosed in our Privacy Policy.
